  On August 13, 2026, Core Scientific, Inc., a Delaware corporation (the "Company"), completed the previously announced acquisition of Polaris DS LLC, a Nevada limited liability company (the "Target"), contemplated by the Agreement and Plan of Merger, dated as of May 5, 2026 (the "Merger Agreement")... The aggregate purchase price paid by the Company for the Acquisition was approximately $444.3 million in cash, subject to certain customary post-closing purchase price adjustments set forth in the Merger Agreement.

From 2007 until 2018, Mr. Smith was Chief Executive Officer and President of Equinix, one of the largest global data centers globally.
