The First Amendment increased aggregate commitments to $1,200,000,000, added new lenders, extended the facility termination date for extending lenders to November 1, 2030, eliminated the 0.10% credit spread adjustment applicable to SOFR-based borrowings, and amended the tangible net worth covenant.

(the "Company") and its subsidiary guarantors party thereto (the "Guarantors") entered into an Indenture (the "Indenture") with U.S. Bank Trust Company, National Association, as trustee (the "Trustee"), pursuant to which the Company issued $500 million aggregate principal amount of its 6.625% Senior Notes due 2033 (the "Notes"). The Notes will mature on September 15, 2033. Interest on the Notes will accrue from September 17, 2025 at a rate of 6.625% per annum, and will be payable semi-annually in cash on March 15 and September 15 of each year, commencing on March 15, 2026.
