Consideration for the Ranch Assets is $70.0 million in cash, subject to adjustment as set forth in the Purchase Agreement (the 'Purchase Price'), of which the $8.0 million deposit received by the Company in December 2025 was applied to the Purchase Price, with the remaining $62.0 million paid at closing.
